These Terms constitute a legally binding agreement between you ("Buyer," "Customer," or "Client") and Eximart ("Company," "we," "us," or "our").

1. Wholesale Nature of Business

Eximart operates strictly as a wholesale distributor. We specialize in providing bulk products to resellers, retailers, and qualified buyers for commercial purposes. As such, all purchases made through Eximart are intended for resale or business use only. We do not offer retail quantities or individual sales to end consumers.

2. Minimum Order Quantity (MOQ)

To maintain the integrity of our wholesale model and pricing structure:

The minimum order quantity is 10 units per order.
Orders below this threshold will be accepted or processed upon receipt of email.
Some products may have higher MOQs depending on supplier or packaging requirements; these will be clearly noted in the product description.

We reserve the right to reject or cancel any order that does not meet our MOQ or violates our wholesale guidelines.

3. Account Registration

To place an order with Eximart, buyers may be required to create a wholesale account. You must provide accurate, complete, and up-to-date information when registering, including:

Business name and contact information
Resale certificate, tax ID, or seller’s permit (if applicable)
Valid email and shipping address

By registering an account, you represent that you are authorized to act on behalf of the business or organization you represent.

4. Pricing and Payments

All prices listed are wholesale prices and are subject to change without notice. Pricing may vary based on volume, supplier availability, or market conditions.

Prices do not include shipping, taxes, or handling fees unless otherwise noted.
All payments must be made in full at the time of purchase unless a written agreement for net terms has been established.
We accept major forms of payment, including credit/debit cards, bank transfers, and PayPal (where applicable).

We reserve the right to correct pricing errors or cancel orders in cases of mispricing or listing mistakes.

5. Shipping and Handling

All buyers are responsible for payment of shipping costs. Orders will be shipped within 3–5 business days after confirmation and successful payment, unless otherwise stated.

6. Returns and Refunds

Due to the nature of wholesale transactions, all sales are final. We do not accept returns or offer refunds unless:

The product is defective
You received an incorrect item due to an error on our part

All claims must be made within 7 business days of receipt, and supporting documentation (including photographs) may be required.

7. Product Availability

Inventory is subject to change based on supplier availability and seasonal demand. We do not guarantee stock of any item unless confirmed in writing. If an item becomes unavailable after you’ve placed your order, we will notify you and provide alternative options or a refund for the unavailable item(s).

8. Use of Products

All buyers are responsible for ensuring that the products they purchase comply with local, state, and federal regulations regarding resale, labeling, distribution, or marketing. Eximart is not liable for misuse, repackaging, or unauthorized claims related to the use or sale of any product.

9. Limitation of Liability

Eximart shall not be liable for any direct, indirect, incidental, punitive, or consequential damages arising from:

Delay in shipping or delivery
Product defects caused by misuse or third-party handling
Loss of revenue, profit, or business opportunity

Our maximum liability in any case shall be limited to the amount paid for the specific goods in question.

10. Intellectual Property

All content on the Eximart website, including but not limited to product descriptions, images, logos, and trademarks, is the property of Eximart or its licensors. Unauthorized use, copying, or distribution of any content is strictly prohibited.
